Effective Date

These Terms and Conditions govern access to and use of the GuideToLearn® website, IntelliGuide™ platform, training services, consulting services, subscription services, digital content, and related offerings.

By accessing, browsing, purchasing, subscribing to, or using any GuideToLearn® or IntelliGuide™ services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, all applicable laws, and all applicable regulations.

If you do not agree to these Terms and Conditions, you must discontinue use of our services immediately.

About GuideToLearn®

GuideToLearn® is a United States-based provider of enterprise learning, business-process intelligence, implementation enablement, consulting services, digital training content, and IntelliGuide™ subscription services.

IntelliGuide™ is a subscription-based SaaS platform designed to provide ERP knowledge, business-process guidance, implementation recommendations, learning experiences, and intelligent assistance capabilities.

Intellectual Property Rights

All content, training materials, software, videos, graphics, course materials, documentation, methodologies, trademarks, service marks, copyrights, proprietary processes, and IntelliGuide™ platform functionality remain the exclusive property of GuideToLearn® or its licensors.

Nothing contained in these Terms grants ownership rights to any user.

Limited License

Subject to compliance with these Terms, GuideToLearn® grants customers a limited, revocable, non-exclusive, non-transferable license to access authorized content and services.

Unless expressly authorized in writing, users may not:

• Copy, reproduce, republish, distribute, or sell content
• Record, download, or redistribute training materials
• Modify course content or proprietary materials
• Reverse engineer software or platform functionality
• Remove copyright notices or proprietary markings
• Share subscription credentials
• Provide platform access to unauthorized users
• Mirror content on external websites or systems
• Use GuideToLearn® intellectual property for commercial purposes without authorization

Violation of these terms may result in immediate suspension or termination of access.

Subscription Services

Certain services may be provided through subscription-based access.

Subscriptions may include:

• IntelliGuide™ access
• Training libraries
• Enterprise learning programs
• AI-assisted guidance services
• Knowledge management content
• Consulting and advisory services

GuideToLearn® reserves the right to modify, enhance, replace, suspend, or discontinue services at its sole discretion.

Customer Responsibilities

Users are responsible for:

• Maintaining account security
• Protecting login credentials
• Ensuring authorized use of services
• Compliance with applicable laws
• Accuracy of information submitted to GuideToLearn®

Users remain solely responsible for business decisions, implementation decisions, system configurations, and operational use of recommendations provided through GuideToLearn® and IntelliGuide™.

Customer Data Ownership

GuideToLearn® respects customer ownership of business information.

Customers retain ownership of:

• Business data
• System configurations
• Business processes
• Documents
• Records
• Intellectual property

GuideToLearn® does not claim ownership of customer data.

To the extent platform services process user-provided information, customers remain solely responsible for ensuring that submitted content complies with all applicable legal, regulatory, contractual, security, and privacy requirements.

AI and Intelligent Assistance Disclaimer

IntelliGuide™ may provide recommendations, guidance, educational content, implementation suggestions, business-process analysis, or intelligent-assistance features.

Such content is provided solely for informational and educational purposes.

Customers are responsible for reviewing, validating, testing, and approving all recommendations before implementation.

GuideToLearn® makes no guarantee that recommendations will be appropriate for every customer, system configuration, business requirement, industry, jurisdiction, or operational environment.

Human review and professional judgment should always be exercised before acting upon any recommendations.

Consulting and Training Services

GuideToLearn® provides consulting, training, advisory, implementation enablement, and educational services.

While reasonable efforts are made to provide accurate information and best-practice guidance, implementation outcomes depend upon numerous factors outside the control of GuideToLearn®, including but not limited to customer decisions, project governance, resources, data quality, third-party vendors, software providers, and implementation partners.

GuideToLearn® does not guarantee project timelines, project outcomes, implementation success, operational results, financial performance, regulatory compliance, or business benefits.

Disclaimer of Warranties

All services, content, software, subscriptions, training materials, consulting services, websites, and IntelliGuide™ capabilities are provided on an "AS IS" and "AS AVAILABLE" basis.

GuideToLearn® disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability
• Reliability
• Accuracy
• Performance
• Results

No advice or information provided by GuideToLearn® shall create any warranty unless expressly stated in writing.

Limitation of Liability

To the maximum extent permitted by law, GuideToLearn®, its officers, employees, affiliates, contractors, licensors, suppliers, and partners shall not be liable for any:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Loss of business
• Loss of profits
• Loss of revenue
• Loss of goodwill
• Loss of data
• Business interruption
• System failures
• Project delays

arising from or related to the use of any GuideToLearn® or IntelliGuide™ products or services.

If liability is established, GuideToLearn®'s total liability shall not exceed the amount paid by the customer for the applicable service during the preceding twelve (12) months.

Third-Party Services and Links

GuideToLearn® may reference or link to third-party services, websites, products, documentation, software, or providers.

GuideToLearn® does not control or endorse third-party content and assumes no responsibility for the availability, accuracy, security, or practices of any third-party resources.

Use of third-party services is at the user's own risk.

Privacy

GuideToLearn® values privacy and transparency.

Information collected may include:

• Account information
• Contact information
• Billing information
• Usage information

• Support requests

Information is used solely for legitimate business purposes including:

• Service delivery

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to conflict-of-law principles.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
